Terms of Service
The Service
LoadIt is a production planning platform for apparel manufacturing factories, provided by O2 Store (Pvt) Ltd (“LoadIt,” “we,” “our”). These Terms govern your access to and use of LoadIt's software, websites, and related services (collectively, the “Service”).
By signing up for or using the Service, you agree to these Terms. If you do not agree, you may not use the Service.
The Service has two access modes: a Free Trial available before our July 2026 commercial launch, and the Commercial Service available from launch onwards. Specific terms for each are in §2 and §3.
Free Trial Programme
Until our commercial launch in July 2026, we offer the full LoadIt platform as a free trial. During the Free Trial:
- No credit card or payment is required.
- You receive access to the full LoadIt platform, including the production board, IE workbench, T&A calendar, machine planning module, Discovery interview, NLP Copilot, and data import features.
- Trial users may run real factory data through the Service. We treat trial-period data with the same care, security, and confidentiality as paid customer data (see §4).
- The Service is in active development through commercial launch. Trial users will see new modules, refinements, and bug fixes ship continuously. Some modules may be added, modified, or temporarily unavailable. We will not materially reduce the core functionality available to you during the trial.
- Trial users may receive direct support from our team, including from the founder. Trial-period support requests are not subject to the SLA terms in §3.
We may modify or discontinue the Free Trial Programme at any time, but we will provide reasonable advance notice (at least 30 days) before any change that materially affects your access. We will communicate subscription plans and pricing in advance of commercial launch.
Commercial Service
From our July 2026 commercial launch onwards, the Service is available as a paid subscription. Commercial Service terms include:
- Subscription. Pricing, plan tiers, and billing terms will be set out in your order form or subscription agreement at the time of purchase.
- Service availability. We will use commercially reasonable efforts to maintain Service availability and performance. We do not commit to a specific uptime percentage in these Terms; any service-level commitments will be set out in a separate Service Level Addendum.
- Support. Paid customers receive support via email and in-app channels. Response times depend on plan tier and will be set out in the order form.
- Renewals and termination. Subscriptions auto-renew unless cancelled per the cancellation terms in your order form. You may terminate for cause if we materially breach these Terms and fail to remedy the breach within 30 days of written notice.
Your Data
Ownership. All data you upload to or generate through the Service (orders, styles, line balances, milestones, machine inventories, planning history, and any other operational data) remains your property. We claim no ownership over your data.
How we use your data. We use your data only to provide the Service to you. We do not sell your data, license it to third parties, or use it to train AI models. We do not aggregate or anonymise your data for commercial purposes.
Security. Your data is stored in databases with row-level security so that each factory's data is isolated from every other factory's. Data is encrypted at rest with AES-256 and in transit with TLS 1.3. Access to systems is gated by SSO and audit-logged.
Export and portability. You may export your data in standard formats (Excel, CSV) at any time. On termination of your account, you may export your data within 30 days, after which we may delete it.
Privacy. Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.
AI Recommendations
The Service uses artificial intelligence to generate planning recommendations, including auto-plans, line-balance suggestions, machine transfer plans, and natural-language responses through the NLP Copilot.
AI-generated outputs are recommendations, not directives. You retain final decision authority over any production plan, line balance, machine deployment, or other operational decision. We do not warrant that AI outputs are correct, complete, or fit for any particular purpose. You should review AI recommendations before acting on them.
We use third-party AI providers (currently Anthropic) under their own data-handling and privacy terms. Our use of these providers does not give them rights to your data beyond what is necessary to process the API request.
Your Responsibilities
You agree to:
- Use the Service in compliance with applicable law.
- Maintain the security of your account credentials. Notify us promptly of any suspected unauthorised access.
- Not attempt to circumvent security controls, scrape data outside of supported export methods, reverse engineer the Service, or interfere with other users' access.
- Not upload data that you do not have rights to upload, including data that infringes third-party intellectual property rights.
- Pay subscription fees as set out in your order form (Commercial Service users only).
We may suspend or terminate accounts that materially breach these obligations.
Intellectual Property
The Service, including all software, designs, documentation, and content provided by us, is owned by O2 Store (Pvt) Ltd and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service in accordance with these Terms.
Feedback, suggestions, or feature requests you provide may be used by us without restriction or compensation, including to improve the Service.
Limitation of Liability
Read this section carefully. It limits our liability to you.
To the maximum extent permitted by law, neither party will be liable to the other for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Buyer chargebacks, late-shipment penalties, contract penalties, or other commercial penalties imposed by your customers.
- Air-freight costs incurred to recover from a missed ship date.
- Damaged supplier or buyer relationships, lost orders, or lost future business.
- Production line idle time, factory shutdown costs, or labour costs incurred during operational disruption.
- Loss of data not caused by our gross negligence or wilful misconduct.
- Loss of profits, revenue, business opportunity, goodwill, or reputation.
These exclusions apply regardless of the form of action, whether in contract, tort, strict liability, or otherwise, and even if a party has been advised of the possibility of such damages.
Direct damages cap. Our total cumulative liability to you for direct damages arising out of or relating to the Service, in aggregate over the entire term of your relationship with us, will not exceed:
- For Commercial Service customers: the total fees you paid to us in the twelve (12) months preceding the event giving rise to the claim.
- For Free Trial users: one hundred United States dollars (USD 100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
Indemnification
You agree to defend, indemnify, and hold harmless LoadIt and its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising from:
- Your breach of these Terms.
- Your unlawful use of the Service.
- Data you upload to the Service that infringes third-party rights.
- Decisions you make based on AI-generated recommendations from the Service, except to the extent caused by our gross negligence or wilful misconduct.
Account Termination
You may terminate your account at any time. Trial users may simply stop using the Service or request account deletion. Commercial customers should follow the cancellation process in their order form.
We may terminate or suspend your account if you materially breach these Terms, with notice and opportunity to cure where reasonable. We may also terminate accounts that have been inactive for an extended period (12 months or more) after providing reasonable notice.
On termination, your right to access the Service ends. We will retain your data for 30 days following termination to allow data export, after which we may delete it.
Governing Law
These Terms are governed by the laws of Sri Lanka, without regard to conflict-of-law principles. Disputes arising out of or relating to these Terms or the Service will be resolved by the competent courts of Colombo, Sri Lanka.
Note: We are establishing a Singapore entity for the Commercial Service. When that entity is operational, governing law and jurisdiction may be updated by amendment to these Terms with reasonable advance notice.
Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to you with reasonable advance notice (at least 30 days where practical) via email or in-app notification. Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.
Non-material changes (clarifications, typographical corrections, formatting changes) may be made without advance notice.
