Terms of Service

1. The Service

LoadIt is a cloud-based production planning platform for garment and apparel manufacturers. It provides visual planning tools, AI-powered order placement suggestions, recovery recommendations, and production tracking capabilities.

2. Beta Programme Terms

2.1 Beta access

During the beta period, all accounts receive full platform access at no charge for six (6) months from the date of account creation. No credit card or payment information is required during the beta period.

2.2 Service level during beta

During the beta period, LoadIt is provided on an “as-is” and “as-available” basis. We do not guarantee:

• Uninterrupted or error-free operation
• Any specific level of uptime or availability
• That features available today will remain available
• That data will not be lost (though we take reasonable precautions to prevent data loss)

2.3 Changes during beta

We may, at any time during the beta period:

• Add, modify, or remove features
• Change the user interface or workflows
• Reset demo or sample data
• Require database migrations that temporarily affect access
• End the beta programme with reasonable notice

2.4 Beta Partner discount

Accounts that meet our active usage criteria and provide regular feedback during the beta period may qualify for a 50% discount on their first year of paid subscription. Qualification criteria will be communicated separately. This discount is offered at our discretion and may be modified or withdrawn.

2.5 Post-beta transition

At the end of the beta period, we will provide at least 30 days notice before any charges apply. You will have the option to continue with a paid subscription, export your data, or close your account. If you choose not to continue, your data will be retained for 30 days after the beta ends, then permanently deleted.

3. Your Data

3.1 Data ownership

You retain full ownership of all production data, factory configurations, order information, and any other content you upload or create in LoadIt. We do not claim any ownership or intellectual property rights over your data.

3.2 Data use

We access your data only to provide the service, generate AI recommendations, and provide customer support. Your data is never shared with other LoadIt customers, sold to third parties, or used to train AI models.

3.3 Data export

You may export your data at any time through the platform’s built-in export functionality (Excel/CSV). Upon request, we will provide a complete data export within 14 days.

3.4 Data deletion

Upon account closure, all your data will be permanently deleted within 30 days. This deletion is irreversible.

4. AI Recommendations

You acknowledge that:

• AI recommendations are based on the data available in the system and may not account for all real-world factors
• Fix suggestions (overtime, line splitting, material alternatives) are options for your consideration, not instructions
• Efficiency predictions and capacity calculations are estimates based on historical patterns
• You are solely responsible for all production planning decisions made using LoadIt
• We are not liable for any production delays, financial losses, missed shipments, or other business impacts resulting from following or not following AI recommendations

5. Your Responsibilities

• Provide accurate factory and order data
• Maintain the confidentiality of your account credentials
• Notify us promptly of any unauthorised access to your account
• Use LoadIt only for lawful business purposes
• Not attempt to access other customers’ data or reverse-engineer the platform
• Not use LoadIt to store data unrelated to production planning

6. Intellectual Property

The LoadIt platform, including its design, code, algorithms, AI models, and documentation, is the intellectual property of O2 Store (Pvt) Ltd. Your use of LoadIt does not grant you any rights to our intellectual property beyond the right to use the service as intended.

7. Limitation of Liability

To the maximum extent permitted by law:

• LoadIt is provided “as is” without warranties of any kind, express or implied
• We do not warrant that the service will meet your specific requirements or achieve any particular business outcome
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities
• Our total liability for any claims arising from your use of LoadIt shall not exceed the total fees paid by you in the twelve (12) months preceding the claim (or zero during the free beta period)
• We are not liable for any business decisions, production outcomes, shipping delays, financial penalties (including air freight costs), or buyer relationship impacts arising from the use of LoadIt or its AI recommendations

8. Indemnification

You agree to indemnify and hold harmless O2 Store (Pvt) Ltd, its directors, employees, and agents from any claims, damages, or expenses arising from your use of LoadIt, your violation of these terms, or your production planning decisions.

9. Account Termination

We may suspend or terminate your account if you violate these terms, use the service in a way that could harm other users or our infrastructure, or if required by law. You may close your account at any time by contacting us.

10. Governing Law

These terms are governed by the laws of Sri Lanka. Any disputes arising from these terms or your use of LoadIt shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.

11. Changes to These Terms

We may update these terms as LoadIt evolves. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use of LoadIt after the effective date constitutes acceptance of the updated terms.
